Terms and Conditions for Swwipe
Swwipe Financial Services Limited (“Swwipe” or “We”), a Private Limited Liability Company. Swwipe is a Central Bank of Nigeria licensed Payment Solution Service Provider.
You are required to read and understand these rules as they are a binding agreement between you and Swwipe. Customers who are under eighteen (18) years of age should review these terms and conditions with a parent or guardian.
Unless otherwise stated, Swwipe and/or its licensors own the intellectual property rights and materials on the website. All text, formatting (including without limitation the arrangement of materials on Swwipe’s website and the graphics, animation, tools, commercials, music, video, articles, sound, copy, trade names, logos and other materials and information on the website are subject to the intellectual property rights of Swwipe and its affiliates and their licensors and licensees (collectively the “Content”). We do not grant you any right, license, title or interest to any of our intellectual Property rights which you may or may not have access to. These Content may not be copied, reverse engineered, decompiled, disassembles, modified or reposted to other websites. Nothing on Swwipe’s site should be construed as granting by implication or otherwise, any license or right to use any Trademark displayed on Swwipe’s website without the written permission of Swwipe or such third party that may own the Trademark. You agree to take such actions including any legal or official document or other documents that may be needed to further affirm our intellectual property rights.
You may not access or use the website for any purpose other than that for which we make the website available. The website may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by us.
We try to keep Swwipe available at all times, bug-free, and safe, but you use it at your own risk. We are providing Swwipe "as is" without any express or implied warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Swwipe is not responsible for the actions, content, information, or data of third parties, and you release us, our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties.
You are responsible for your connection to the mobile phone networks, the Internet and all costs associated with these same connections.
We are not responsible for any loss arising from any failure, malfunction, or delay in any mobile phone networks, mobile phones, ATMs, the Internet or terminals or any of its supporting or shared networks, resulting from circumstances beyond our reasonable control.
We may allocate any money received from you or held on your behalf to settle any outstanding balance on your account.
Breaches of these Terms
You hereby indemnify Swwipe and undertake to keep Swwipe, its staff and affiliates indemnified against any losses, damages, costs, liabilities and expenses (including without limitation reasonable legal fees and expenses) arising out of any breach by you of any provision of these Terms, or arising out of any claim that you have breached any provision of these Terms. You will indemnify and hold Swwipe harmless from and against any claim, suit or proceedings brought against Swwipe arising from or in connection with violations of Intellectual Property or other rights of third parties in relation to your use of the Services.
Governing Law and Dispute Resolution
You acknowledge and agree that these Terms and Conditions are governed by Nigerian law and any breach of these Terms and Conditions will be considered as having taken place in Nigeria.
Where Parties are unable to amicably resolve their dispute or claim arising out of or in relation to this Agreement, such dispute shall be referred for mediation to the Lagos Multi-Door Court House and shall be resolved under the Rules of the Lagos Multi-Door Court House. If the dispute is not resolved by mediation at the Lagos Multi-Door Court House within a period of fifteen (15) days from the date of submission, either Party may refer the dispute to arbitration in accordance with the Arbitration and Mediation Act 2023.
